DEFINITIONS

The following definitions apply to the Terms and Conditions outlined below.

The Site: tellingeros.com  as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (the “Site”) is a website operated by Readwell Publishing Ltd (“Company“, “we”, “us”, or “our”).

Content: Content refers to any and all material(s) on or hosted by the Site. Content includes Submissions and Contributions.

Contributions: Contributions refer to any comments, posts, blogs, or broad engagement with Content on the Site by users (inc. Writers) of the Site.

Submissions: Submissions are defined as but not limited to any writing, stories, short stories, novels, poems, story telling that are submitted to the Site by Writers. Submissions can also be referred to as “piece(s)” or ”work(s)”. Submissions are classified under two catalogues, Standard Catalogue and Exclusive Catalogue. These are collectively referred to as the “Catalogues”.

Writers: Writers are defined as any individual who contributes Submissions to the site. Once an individual has applied to write for the Site, they are classified as a Writer.

PART 1: GENERAL TERMS

a. Application of these Terms of Use

By accessing our Site you agree, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Part 1 of these Terms of Use contains our ‘General Terms’ which apply to all those who access our Site.

Part 2 of these Terms of Use contains our ‘Subscription Terms’ which apply to all users of the Site who have opened subscription accounts (“Subscribers”).

Part 3 of these Terms of Use contains our ‘Writer Terms’ which apply to all users of the Site who have opened writer accounts (“Writers”)

The following additional terms also apply to your use of our Site:

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. Every time you use our Site, you must check these Terms of Use to ensure you understand the terms that apply at that time. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted. These Terms of Use were most recently updated on [19 April 2021].

b. Use of Our Site

The use of our Site is intended for users residing in the United Kingdom. We do not represent the content available on or through our Site is appropriate for use or available in other locations. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site. 

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are at least 18 years old and are not a minor in the jurisdiction in which you reside; (5) you will not access the Site through automated or non-human means, whether through a bot, script, or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation.

The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date.

c. Account Security

You may be required to register an Account with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, or otherwise objectionable.

We have the right to disable any username or password at any time if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

If you know or suspect that anyone other than you knows your username or password, you must promptly notify us at help@tellingeros.com.

d. Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it.  Those works are protected by copyright laws and treaties around the world. All such rights are reserved. Writers’ intellectual property rights are set out in clause C of the Writers Terms (Part 3).

You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others within your organisation to content posted on our site.

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

You must not use any part of the content on our site for commercial purposes without obtaining a license to do so from us or our licensors.

If you print off, copy or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

e. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

1. Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

2. Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

3. Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site and/or the Content contained therein.

4. Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.

5. Use any information obtained from the Site in order to harass, abuse, or harm another person.

6. Make improper use of our support services or submit false reports of abuse or misconduct.

7. Use the Site in a manner inconsistent with any applicable laws or regulations.

8. Use the Site to advertise or offer to sell goods and services.

9. Engage in unauthorized framing of or linking to the Site.

10. Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.

11. Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

12. Delete the copyright or other proprietary rights notice from any Content.

13. Attempt to impersonate another user or person or use the username of another user.

14. Sell or otherwise transfer your profile.

15. Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).

16. Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.

17. Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.

18. Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.

19. Copy or adapt the Site’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.

20. Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.

21. Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.

22. Use a buying agent or purchasing agent to make purchases on the Site.

23. Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.

24. Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.

f. User Generated Contributions 

The Site may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, “Contributions“).

Whenever you make use of a feature that allows you to upload Contributions to our Site, or to make contact with other users of our Site, you must comply with the content standards set out in our Contributions Policy.

You warrant that any such Contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

Any Contribution you upload to our site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your Contribution, but you are required to grant us and other users of our site a limited licence to use, store and copy that Contribution and to distribute and make it available to third parties.

When you upload or post Contributions to our site, you grant us a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated Contribution in connection with the service provided by the website and across different media including to promote the Site or the service.

We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

We have the right to remove any posting you make on our site if, in our opinion, your post does not comply with the content standards set out in our Contributions Policy.

g. Site Management

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.

h. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Site, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Use. Please be advised the Site is hosted in the United Kingdom. If you access the Site from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United Kingdom, then through your continued use of the Site, you are transferring your data to the United Kingdom, and you agree to have your data transferred to and processed in the United Kingdom.

We respect the intellectual property rights of others. If you believe that any material available on or through the Site infringes upon any copyright you own or control, please immediately notify us using the contact information provided below (a “Notification”). A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that you may be held liable for damages if you make material misrepresentations in a Notification.

j. Term and Termination

These Terms of Use shall remain in full force and effect while you use the Site. Without limiting any other provision of these terms of use, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the site (including blocking certain IP addresses), to any person for any reason or for no reason. We may terminate your use or participation in the site or delete your account and any content or information that you posted at any time, without warning, in our sole discretion.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

k. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site.  

We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance of the Site. Nothing in these Terms of Use will be construed to obligate us to maintain and support the Site or to supply any corrections, updates, or releases in connection therewith.

l. Governing Law

These Terms of Use (and all other terms and conditions related to and in connection with the use of this Site, including the Subscription Terms, Contribution Terms, and the Writer Terms) and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.

m. Jurisdiction

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this these Terms of Use (and all other terms and conditions related to and in connection with the use of this Site, including the Subscription Terms and the Writer Terms) or their subject matter or formation.

n. Disclaimer

The site is provided on an as-is and as-available basis. You agree that your use of the site and our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties or representations about the accuracy or completeness of the site’s content or the content of any websites linked to the site and we will assume no liability or responsibility for any
(1) errors, mistakes, or inaccuracies of content and materials,
(2) property damage, of any nature whatsoever, resulting from your access to and use of the site,
(3) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein,
(4) any interruption or cessation of transmission to or from the site,
(5) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the site by any third party, and/or
(6) any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the site. We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the site, any hyperlinked website, or any website or mobile application featured in any banner or other advertising, and we will not be a party to or in any way be responsible for monitoring any transaction between you and any third-party providers of products or services. As with the purchase of a product or service through any medium or in any environment, you should use your best judgment and exercise caution where appropriate.

o. Limitations of Liability

We exclude all implied conditions, warranties, representations or other terms that may apply to our Site or any content on it.

We will not be liable to you for any loss or damage , whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • use of, or inability to use, our Site; or
  • use of or reliance on any content displayed on our Site.

In particular, we will not be liable for:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

If you are a consumer user, please note that we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

p. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) a breach by the writers of the representations and warranties given in Clause 1 of the Writers Terms (Submissions)  in relation to their submissions.  (Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

q. User Data

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

r. Miscellaneous

These Terms of Use and any policies or operating rules posted by us on the Site or in respect to the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Site. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.

PART 2: SUBSCRIPTION TERMS

a. General

We may let you consume some of the Content for free before you sign up for an Account. To access more of our Content (Standard and/or Exclusive Catalogues) and certain features of our Services, you must purchase a subscription (“Subscription”). You can find additional information about pricing for our Subscriptions on our website. There are two levels of Subscriptions you may purchase which entitle you to access different Catalogues of content. The first level of Subscription (Level 1) permits access to the Standard Catalogue, and the second level (Level 2) of Subscription permits access to the Exclusive Catalogue.

When you purchase a Subscription (a “Transaction“), you expressly authorize us (or our third-party payment processor) to charge you for such Transaction. We may ask you to supply additional information relevant to your Transaction, including your credit card number, the expiration date of your credit card and your email and postal addresses for billing and notification (such information, “Payment Information“). You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. When you initiate a Transaction, and click on the Purchase button, you authorize us to provide your Payment Information to third parties so we can complete your Transaction and to charge your payment method for the type of Transaction you have selected (plus any applicable taxes and other charges). You may need to provide additional information to verify your identity before completing your Transaction (such information is included within the definition of Payment Information).

b. Subscriptions

Subject to availability, you may purchase a Subscription with a monthly renewal period. If you purchase a Subscription, you will be charged the monthly Subscription fee, which will be inclusive of all applicable taxes, and other charges (“Subscription Fee“), at the beginning of your Subscription and each applicable monthly renewal period thereafter, at the then-current Subscription Fee. The price to be paid for your Subscription will be made clear to you on the Subscription order pages or otherwise during the order process and may vary from time to time. You agree to pay the fees at the rates notified to you at the time you purchase your Subscription together with any processing or other associated fees charged by the issuing bank/payment provider.

Please note that your Subscription will automatically renew, until it is cancelled.  If you purchase a monthly Subscription, we (or our third-party payment processor) will automatically charge you each month on the calendar day corresponding to the commencement of your Subscription, using the Payment Information you have provided until you cancel your Subscription. In the event your Subscription began on a day not contained in a given month, your payment method will be charged on a day in the applicable month or such other day as we deem appropriate. For example, if you started your Subscription on January 31st, your next payment date is likely to be February 28th, and your payment method would be billed on that date. By agreeing to these Terms and electing to purchase a Subscription, you acknowledge that your Subscription has recurring payment features and you accept responsibility for all recurring payment obligations prior to cancellation of your Subscription by you or Readwell Publishing. Your Subscription continues until cancelled by you or we terminate your access to or use of the Services or Subscription in accordance with these Terms.

c. Access to Content

Upon completion of the Transaction you will receive an email confirmation from us and immediately be able to access the Content. Where you access the Content you will have no right to repayment of any Subscription Fees and you acknowledge and agree that you waive any right to a refund of such Subscription Fees.

d. Cancelling Your Subscription

Your purchase is final and you will not receive a refund of any portion of the subscription fee paid for the then current subscription period at the time of cancellation. But if something unexpected happens in the course of completing a Transaction, we reserve the right to cancel your Transaction for any reason; if we cancel your Transaction, we’ll refund any payment you have already remitted to us for such Transaction. Without limiting the foregoing, you may cancel your Subscription at any time, but please note that such cancellation will be effective immediately without reimbursement for the remaining period. To cancel, you can follow the instructions on our Site. You will be responsible for all Subscription Fees (plus any applicable taxes and other charges) incurred for the then-current Subscription period. If you cancel, your right to use the Services ends.

e. Free Trials

Readwell Publishing may offer free trials to new users. If you initiate a subscription to use the Site through a free trial offer, you will receive access to the Site for the duration of the free trial period. At the end of the applicable free trial period, you will be charged the price of the subscription and will continue to be charged until you cancel your subscription. To avoid any charges, you must cancel before the end of the free trial period.

PART 3: WRITER TERMS

The definitions used herein are set out in the definitions clause contained within the beginning of these Terms. These terms apply to individuals classified as Writers.

a. Applications

To use the services provided by Readwell Publishing Ltd, individuals who are interested in becoming a Writer must first submit an application. The goal of the application is to ensure a high standard of Content hosted on the Site.

Writers are asked to submit a writing sample with the following guidelines:

  • You must be 18 years of age or older.
  • You must be the sole creator and owner of your work.
  • All characters featured in the story must be 18 years of age or older.
  • Your submission must be less than 10k words.
  • You may submit a complete work if it fits within the word count, or just an extract.
  • It may fit into any subgenre within the romantic or erotic space.

These guidelines alongside more information can be found on the Site.

Once submitted, the Readwell Publishing team will review the application and inform the author whether they have been accepted or rejected. Once Writers have been accepted, they are able to submit Submissions. Readwell Publishing maintains the absolute right to choose which applicants are accepted and rejected without dispute.

b. Submissions

When submitting Submissions as defined above, writers have the option of selecting in the submission portal whether they want to submit to the Standard Catalogue or the Exclusive Catalogue. Should the submission portal suffer technical issues, it is the Writers’ responsibility to inform Readwell Publishing which Catalogue they would like to submit to. Under the discretion of Readwell Publishing we require Writers to submit 10 pieces to the Standard Catalogue prior to submission to the Exclusive Catalogue.

Based on the performance of your Submissions, you are entitled to receive a portion of revenues. Read our Writers Payment Policy for more details.

When you create or make available any Submissions, you thereby represent and warrant that:

1.  The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Submissions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.

2.  You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Site, and other users of the Site to use your Submissions in any manner contemplated by the Site and these Terms of Use.

3.  You have the written consent, release, and/or permission of each and every identifiable individual person in your Submissions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Submissions in any manner contemplated by the Site and these Terms of Use.

4.  Your Submissions are not false, inaccurate, or misleading.

5.  Your Submissions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.

6.  Your Submissions are not harassing, libelous, slanderous, or otherwise objectionable (as determined by us).

7.  Your Submissions do not ridicule, mock, disparage, intimidate, or abuse anyone.

8.  Your Submissions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.

9.  Your Submissions do not violate any applicable law, regulation, or rule.

10.  Your Submissions do not violate the privacy or publicity rights of any third party.

11.  Your Submissions do not contain any material that solicits personal information from anyone under the age of 18 or exploits people under the age of 18 in a sexual or violent manner.

12.  Your Submissions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.

13.  Your Submissions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.

14.  Your Submissions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.

c. Catalogues of Submissions

c(1). STANDARD CATALOGUE

Submissions in the Standard Catalogue are available for all users who subscribe to the Level 1 Subscription. By Submitting work(s) to the Standard Catalogue you grant Readwell Publishing Non Exclusive rights to host and monetize your content. We define Non Exclusive Rights as: the right to host and monetize your work non exclusively for a set period of time. Should you or Readwell Publishing terminate your account, Readwell Publishing no longer holds Non Exclusive rights to host and monetize your work.

c(2). EXCLUSIVE CATALOGUE

Readwell Publishing maintains the right to choose which Writers are able to submit work to the Exclusive Catalogue. Typically, we request Writers submit 10 pieces of work to the Standard Catalogue, at least 3 of which must be individual stories, prior to submitting work(s) to the Exclusive Catalogue. For this introductory 10 piece submission, writers may submit chapters or episodes to an ongoing story: if they choose to submit episodic content, then we require their initial 10 submissions to include episodes or chapters from at least 3 different overarching narratives. 

By submitting work(s) to the Exclusive Catalogue you grant Readwell Publishing Exclusive Rights to host and monetize your work(s) while your account is active with Readwell Publishing and for a period of 12 months following termination or cancellation of said account. Following this 12 month period, the Exclusive Rights of Readwell Publishing in relation to the Writers work(s) will expire.

We define Exclusive Rights as: the right to host and monetize your work(s) exclusively for a set period of time, ensuring it is not published elsewhere at the same time. In the event a Writer violates the terms set out when submitting to the Exclusive Catalogue, they may face termination of their account as well as providing compensation to Readwell Publishing amounting to loss of revenue.

d. Necessary Rights for Submissions

You may only submit to the Catalogues if you have sufficient rights to make commercial use of the content in it, including text, video, and audio elements. Readwell Publishing may require you to provide documentation proving you own sufficient rights to the work submitted.

The consequences of submitting work(s) when you lack the rights to do so or failing to provide adequate documentation upon request include the removal of work(s), withholding of revenue, suspension or termination of your Readwell Publishing account.

You are not entitled to earn or receive any revenue in connection with your content in any of the following circumstances: (1) if one or more third parties claim rights to any element(s) of your content, (2) your content is in breach of our 1 to 14 representation and warranties in clause b, Submissions., or (3) if your participation in Readwell Publishing as a whole is suspended or terminated. If any of these occur, Readwell Publishing will use reasonable efforts to notify you.

These Terms are not legal advice. If you plan to monetize any content you did not create, you may want to talk to a lawyer first to ensure you own all rights required to do so.

e. Termination

Readwell Publishing reserves the right to remove your work(s) at any time, which will end that submission’s ability to generate revenue.

Readwell Publishing reserves the right in its sole discretion to terminate your account with the Site. Should your account be terminated with Readwell Publishing, the rights to your work(s) follow the standard guidelines outlined in the clause C of the Writers’ Terms.

f. Changes or Discontinuation

Readwell Publishing reserves the right to modify, suspend or discontinue your account with or without notice to you. Readwell Publishing will not be liable to you or any third party for any such modification, suspension, or termination. Readwell Publishing may change these Exclusive Program Terms from time to time so we encourage you to periodically review this page for the most up-to-date version. If you refuse to accept the updated Service Terms then Readwell Publishing reserves its right to suspend or terminate your participation in the Site.

g. Communications

By using this Site, you consent to receiving critical communications from us related but not limited to changes to your account, changes to these Terms and Conditions, and notices about website changes. As a Writer, you can opt in/out of marketing communications including but not limited to, special offers, newsletters, promotional announcements, and surveys. 

h. Taxes

If required by law, you are responsible for reporting and paying any applicable taxes in connection with your participation in the Site. Such taxes may include duties, customs fees, or other taxes (other than income tax), along with any related penalties or interest.

i. Governing Law and Forum

The governing law, mandatory forum, and dispute resolution provisions of Readwell Publishing’s Terms of Service also apply to these Terms and any dispute arising under them.

j. Miscellaneous

You participate in the Site at your own risk. You agree that you are solely responsible for your actions in connection with the Site, any breach of your obligations under the Terms, and for the consequences of any such breach.

Any capitalized terms used but not defined in these Terms have the meanings given to them in Readwell Publishing’s Terms of Service. Except as modified by these Terms, Readwell Publishing’s Terms of Service remain in effect. Readwell Publishing’s right to modify or revise the Terms of Service also applies to these Terms.
